Terms of Service
These Terms of Service govern access to and use of Canada Tender Match (the “Service”). By creating an account, purchasing a subscription or using the Service, you agree to these Terms. The Service is intended primarily for business and commercial users.
1. Independent service; no government affiliation
Canada Tender Match is an independent commercial service. It is not the Government of Canada, a provincial, territorial or municipal government, a procurement authority, or an agent of any issuing organization.
2. Public-source information, source approval and verification
The Service may collect, organize, transform, summarize, classify and display procurement information from approved public-sector data sources. Automatic source connectors are intended to run only where Canada Tender Match has identified an approved access method—such as an official machine-readable route or official notification service—and a licence, permission or other reuse basis considered compatible with the commercial Service. A direct source may be placed on hold or removed if its terms, licence, access method or technical conditions are unclear or change. Source information may be incomplete, delayed, inaccurate, amended, cancelled, withdrawn or unavailable. For notification-based sources such as Nova Scotia TONS, coverage may begin only after enrollment, may depend on successful email delivery, and may not include every amendment or previously posted opportunity. The issuing authority's official notice, documents and amendments are authoritative. Contract Intelligence, including planned-project pipelines, award notices, supplier histories, buyer profiles, benchmarks, watch alerts and renewal/recompete estimates, is research context and is not represented as an open bid opportunity, forecast guarantee or commitment that work will be reissued. You are solely responsible for verifying every deadline, addendum, submission instruction, eligibility rule and requirement before acting.
The Service may also provide plain-text links to official procurement portals that are not automatically integrated. A link is a navigation aid only and does not represent affiliation, endorsement, permission to republish the linked site, or complete coverage. Where available, customers may enter information from an external opportunity into a private workspace for matching and bid management. Canada Tender Match does not automatically scrape the linked portal merely because a customer saves its URL.
3. Match scores, Bid Fit Assessment and preliminary requirements
Match scores, labels, summaries, Bid Fit Assessment factors, requirement signals, warnings and recommendations are software-generated decision-support tools based on the information available to the Service, including information you choose to enter for an external tender and text extracted from a solicitation or addendum you submit to the RFP Document Analyzer. A detected or undetected requirement does not establish whether a solicitation contains or omits that requirement. These tools do not mean that you are eligible, compliant, qualified, likely to win, or should submit a bid. The RFP Document Analyzer and Addendum Comparison may miss, misread or misclassify clauses, tables, dates, forms or changes, especially in scanned, image-only or unusually formatted documents. Always review the complete official solicitation and amendments. We do not guarantee that the Service will identify every opportunity relevant to you or that any identified opportunity will result in revenue, an award or any other outcome.
4. No professional advice
The Service does not provide legal, accounting, tax, financial, procurement, engineering or professional bid-writing advice. Obtain appropriate professional advice when needed.
5. Accounts and team access
Free, Solo and Contract Intelligence are one-user plans and credentials may not be shared. Pro and Complete permit unlimited authorized users who belong to or work directly for the same subscribing organization. Each person must use a separate login. Access may not be shared with unrelated businesses, clients or partner organizations. The organization owner is responsible for invitations and prompt removal of people who are no longer authorized. Existing Pro customers whose original subscription included Award Intelligence retain that access while their subscription remains active; new Pro subscriptions follow the features shown on the current Pricing page.
6. Free access, subscriptions, renewal and cancellation
Live tender search and live Contract Intelligence record access require a verified account. A Free account may be created with no credit card and does not automatically become a paid subscription. Introductory Free live-record access, including tender search and the Free Contract Intelligence preview, is limited to the earlier of 14 days after email verification or 40 meaningful searches across those tools. An upgrade offer may begin after the earlier of 7 days or 15 meaningful searches. Repeated identical searches may be de-duplicated for limit administration. When introductory Free live-record access ends, the account, profile and supported customer-created information may remain available, but live tender searching, tender details, personalized tender matching and Free Contract Intelligence record access are restricted until the applicable paid plan is active. Solo provides the one-user tender workspace. Pro provides the shared tender workspace and unlimited authorized users from the same subscribing organization. Contract Intelligence provides one-user award, contract-history and renewal-research tools and does not itself include the paid tender workspace. Complete combines Pro and Contract Intelligence. Active paid subscriptions, complimentary paid access and authorized members of an active paid organization are not subject to Free-account tender-search timers or limits. Paid subscriptions automatically renew until cancelled and fees are charged in advance for the applicable billing period. Existing paid customers change plan or billing interval through Stripe's Customer Portal, where applicable proration and the next renewal are shown before confirmation. Normal self-service cancellation takes effect at the end of the current paid period, so paid access ordinarily continues until then while the Service remains available. Free-account rules apply only after paid access actually ends. Cancellation prevents the next renewal but does not itself entitle you to a refund for unused time, except as stated in the Refund Policy or required by law.
7. Promotions and no price protection
We may offer promotional or discounted pricing from time to time. Eligible Free accounts that have not previously paid may be offered 10% off the first paid billing period after the introductory-use threshold is reached. If offered, the discount applies once to the first month for monthly billing or the first year for annual billing, is limited to one redemption per organization, is not cash value, does not normally combine with another promotion and is followed by the regular recurring price then applicable unless the subscription is cancelled or changed. Other promotions may be limited by date, customer type, plan, eligibility or disclosed conditions. Unless expressly stated otherwise or required by applicable law, promotional pricing is not retroactive and we do not provide price protection, refunds, credits or subscription extensions merely because a lower price becomes available after your purchase.
8. Refunds
Except where expressly stated in the Refund Policy or required by applicable law, payments to Canada Tender Match are final and non-refundable. We do not ordinarily provide refunds, partial refunds, prorated refunds, credits or subscription extensions for cancellation, non-use, dissatisfaction with tender availability or results, a tender being changed or withdrawn, changes to individual features or data sources, or temporary interruptions. If Canada Tender Match permanently terminates the entire paid Service before the end of a prepaid subscription period, we will provide a prorated refund of the unused prepaid portion of that period, subject to applicable law and reasonable payment-processing limitations. Removal of an individual feature, source or plan is not a permanent termination of the entire paid Service.
9. Changes to pricing, plans, features and service
We may update, modify, add, remove, replace, suspend or discontinue features, data sources, matching methods, usage limits, plans or other aspects of the Service. We may change pricing for future billing periods and renewals after appropriate notice where required. Already-paid periods are not retroactively repriced. Material changes will be communicated where appropriate or required by law.
10. Service availability
The Service is provided on an “as available” basis. We do not guarantee uninterrupted or error-free operation, continuous access, successful email delivery, continuous availability of source systems, or any particular uptime level. Maintenance, hosting failures, internet failures, email failures, payment-processor failures, cyber incidents, source changes and other events may affect availability.
11. Third-party services
The Service depends on third-party services and source systems, which may include public procurement websites, web hosting, email systems, payment processors and optional measurement providers. We are not responsible for the acts, omissions, outages, changes, security incidents or availability of third parties beyond the extent required by applicable law.
12. Customer content and workspace data
You retain ownership of the content and business information you submit to the Service, including private notes, Bid Library text, external/manual opportunities, tender descriptions or requirements you paste into External Tender Check, source links, tasks, credential/reference information and bid history (“Customer Content”). You grant Canada Tender Match a limited, non-exclusive right to host, copy, process, transform and display Customer Content only as reasonably necessary to provide, secure, support and improve the Service, comply with law and enforce these Terms. Canada Tender Match does not claim ownership of your Customer Content.
Where you use Pro or Complete organization/team features, authorized members of the same organization may be able to view or work with shared workspace information. You are responsible for ensuring that invited users are authorized and that you have the right to submit and use the Customer Content you enter, including any tender text or documents obtained from an external source. External Tender Check and the RFP Document Analyzer are intended for private analysis and workspace use, not for republishing restricted source material. You are responsible for having the right to upload or paste the material you submit for analysis. Do not use the Service to store unnecessary highly sensitive information such as social insurance numbers, unrelated service passwords, online-banking credentials, payment-card security codes, medical records or classified/restricted information.
13. Acceptable use
You may not attempt to bypass access controls, evade subscription limits, share one-user credentials, scrape or bulk-copy the processed Service in a manner that unreasonably burdens the system, resell access without permission, reverse engineer protected components, introduce malicious code, attack the Service, use the Service to violate another person's rights, or use the Service unlawfully.
14. Suspension and termination
We may suspend or terminate accounts for non-payment, fraud, abuse, security concerns, unlawful activity, material breach of these Terms, attempts to circumvent subscription controls, or conduct that threatens the Service or other users. Where practicable, we may provide notice and an opportunity to address non-urgent issues.
15. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided without warranties or conditions of accuracy, completeness, fitness for a particular purpose, merchantability, uninterrupted operation or non-infringement, except warranties or conditions that cannot lawfully be excluded.
16. Limitation of liability
To the maximum extent permitted by applicable law, Canada Tender Match and its owner(s), operators, contractors and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, lost profits, lost revenue, lost opportunity, lost contracts, bid preparation costs, business interruption, loss of data, missed deadlines, rejected bids or decisions made in reliance on the Service. To the maximum extent permitted by law, aggregate liability arising from the Service will not exceed the fees actually paid by you to Canada Tender Match during the 12 months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot legally be excluded or limited.
17. Indemnity
To the extent permitted by law, business users agree to indemnify and hold harmless Canada Tender Match from third-party claims, losses and reasonable costs resulting from their unlawful use of the Service, breach of these Terms, or violation of another person's rights.
18. Intellectual property and source data
The Canada Tender Match brand, original software, site design, matching logic, database organization, original text and other original materials are protected by applicable intellectual-property laws. Source data remains subject to the licence and rights of the applicable source. Canada Tender Match may attribute, link to, limit, suspend or remove source data as required by the applicable licence, permission, source terms or operational review. Our display of source information does not transfer ownership of underlying government or third-party data to us.
19. Privacy and email communications
Personal information is handled as described in the Privacy Policy. Requested tender/research alerts, monitoring reports and other non-essential email are subject to the email preferences and unsubscribe controls provided by the Service. Essential security, billing or account-administration communications may still be sent where reasonably necessary. Marketing communications are sent only where Canada Tender Match has an applicable basis to do so.
20. Changes to these Terms
We may revise these Terms from time to time. The effective version and date will be posted on this page. For material changes, we may provide additional notice or request renewed acceptance when appropriate or legally required. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.
21. Discontinuing the Service
Canada Tender Match may modify, suspend or permanently discontinue an individual plan, feature, tender source or other part of the Service, subject to applicable law. Where practicable, we may provide advance notice of significant changes. If Canada Tender Match permanently terminates the entire paid Service before the end of a prepaid subscription period, the unused prepaid portion will be handled as described in the Refund Policy. A change to or removal of an individual feature, source or plan does not by itself constitute permanent termination of the entire paid Service.
22. Governing law
Subject to any mandatory rights that apply regardless of contract, these Terms are governed by the laws of Alberta and the federal laws of Canada applicable in Alberta.
